Warranty
We stand behind our products and warrant them to be free from defects
in materials or workmanship as defined in their respective inspection drawings
under the following conditions:
We warrant that our products meet dimensional specifications. We warrant
that our products are free from significant cosmetic defects, such as scratches
or dents caused by us; this warranty does not extend to cosmetic problems
arising during or after shipment. We will promptly repair, replace or refund
the price of any defective goods if we are informed in writing of the problem
and the defective goods, are, on our request, returned to us. You must
obtain a return authorization number from Customer Service before returning
any goods to us.
Because we have no control over how you use our products, we cannot warrant
that our products will be suitable for your particular use. We are, of
course, happy to discuss our products with you to help you make an informed
purchasing decision, but it is your responsibility to ensure that our product
is suitable for your anticipated use. There are no warranties that extend
beyond the terms stated here; there is no implied warranty of merchantability
or fitness for use. Our sole liability in the event of a defect is,
at our option, to either refund the purchase price or repair or replace
the defective products. We cannot anticipate, and will not be liable for,
consequential damages such as lost profits, business interruption, costs
arising from delays, or the like.

Delivery and Shipping
We ship our products, FOB, Ithaca, New York. We will deliver the goods
to a common carrier of your choice (such as UPS or Federal Express), and
title to the goods will pass at that time. Unless otherwise instructed,
UPS and FedEx charges will be prepaid and billed. Truck shipments will
be sent freight collect unless prior arrangements have been made.

Credit
Completing a new customer form
will enable us to open an account for you and determine your credit terms
and limits. We will send you an invoice by mail, and for accounts with
standard open credit terms, expect payment within 30 days. We accept VISA
and MasterCard for accounts without open credit terms. Quantity pricing
may not be eligible for credit card payment.

Jurisdiction
The purchase contract is governed
by New York law. You agree that any lawsuit about the contract will be
located in Ithaca, New York, and that the losing party will pay the reasonable
legal fees of the winning party.

|
Ownership
Our designs and drawings and the
tools, dies, and computer programs used to manufacture our products, whether
standard or customized, and whether or not an engineering or one-time tooling
charge has been paid, belong to us. We won't disclose information about
your purchases to others; you agree not to use our designs and drawings
to obtain goods or quotes from others.

Sole Terms and
Conditions
We do not agree to any terms and
conditions other than those stated here unless we have specifically agreed
to them in writing.
We reject boilerplate terms as inappropriate
whether they appear on the purchase order or are referred to
as being in our possession and whether or not receipt has been acknowledged
or previous orders have been accepted. If there is a need for more complex
terms and conditions, we will be happy to discuss them with you.

Export Considerations

Export Packing
If special packing is required
to make a safe shipment, the cost will be quoted when we quote the cost
of the goods.

|
Export Shipping
Remember that we ship, FOB, Ithaca,
New York. The costs of freight, insurance and, if any, taxes and customs
duty are your responsibility. We will tell you the cost of shipping options.
You must tell us which option you choose. Shipments will be sent freight
collect unless prior arrangements have been made.

Export Payment
Terms
Invoicing and payment are in US
dollars. Payment can be made by:
VISA or MasterCard. This is the
preferred method for payments under $1000. It is convenient, minimizes
fees and provides a simple method for currency exchange.
Wire transfer. All bank fees must
be paid by the purchaser. Call or fax for instructions.
A check denominated in US dollars
and drawn on a bank in the United States or Canada. All bank fees must
be paid by the purchaser.

Due to our continuing efforts
to enhance our products, we reserve the right to change specifications
without notice or obligation.
